Happy Kit Studio Terms of Service

1. Acceptance of Terms

By engaging with Happy Kit Studio (hereinafter referred to as "HKS"), you agree to be bound by these Terms of Service. These terms govern your use of HKS's services, including but not limited to branding, website design, and digital and print collateral.

2. Services Provided

HKS provides a range of creative services, including but not limited to:

  • Branding: logo design, brand identity, brand guidelines

  • Website Design: website development, e-commerce setup, SEO optimization

  • Digital and Print Collateral: social media graphics, business cards, brochures, packaging, and more

3. Client Responsibilities

For Branding Projects:

  • Business Fundamentals: Provide a clear understanding of your business goals, target audience, and competitors. Consider a consultation if you need assistance.

  • Active Involvement: Participate in meetings, provide timely feedback, and stay engaged throughout the project.

For Website Projects:

  • Content Preparation: Provide all necessary content, including photography, product details, and copy. Consider a consultation for platform setup guidance.

  • Content Readiness: Ensure content is ready for the project timeline. Placeholders will be used for missing content and must be replaced later.

  • Collaboration: Utilize provided page outlines and copy prompts to facilitate the process. For e-commerce, prepare product descriptions and images in advance.

For Digital and Print Collateral:

  • Specifications: Provide detailed specifications, including manufacturer templates, dielines, design briefs, and finalized copy.

4. Revisions and Progression

  • Website/Branding Revisions: The number of revision rounds included will be specified in the invoice/quotation. Any additional revisions beyond this may result in extra charges.

  • Timely Information: Provide all necessary information and content before the initial draft to avoid delays and additional costs.

5. Intellectual Property

  • Ownership: Upon full payment, you will own the final deliverables. HKS retains the right to use completed work for portfolio and promotional purposes.

  • Copyright: HKS retains the copyright to any original designs and concepts created during the project.

6. Payment Terms

  • Payment Schedule
    HKS will provide a detailed payment schedule, clearly outlining project milestones and corresponding due dates for payments.

  • Payment Policy
    To support a smooth workflow and establish trust between both parties, payments will follow the structure below unless a custom schedule is agreed upon in advance:

    • Projects Below RM2,000:
      Full payment is required upfront before any work begins. This approach simplifies smaller projects and ensures timely delivery.

    • Projects Within RM2,000-4,000

      • 60% upfront – due before work starts

      • 40% final – due before final file handover

    • Projects Above RM4,000:
      Partial payments are accepted. Typically:

      • 50% deposit upfront to secure the project

      • Remaining 50% upon completion or according to the agreed payment schedule (e.g., 50 / 30 / 20) This structure offers flexibility while maintaining accountability for both parties.

    • Creative Package Project Payments (Credit System)
      For our creative packages — whether it’s The Print Pack, Web Care Pack, or Social Pack.
      Full Payment is made upfront       as stated in your quotation or rate sheet. This allows us to reserve dedicated time for your project and keep delivery on schedule.

    These terms are designed to protect both parties, ensuring commitment and clarity throughout the project timeline.

  • Late Payments
    Late payments may result in additional fees or project delays. Please ensure timely payments to avoid any disruptions to the project.

  • Pause Fee Policy
    If a project is paused or delayed at the client's request, a pause fee equivalent to 5% of the total project cost will apply. This fee covers administrative, scheduling, and opportunity costs, ensuring the project remains prioritized and resources are effectively managed.

    Example:

    • Total Project Cost: RM10,000

    • Pause Fee (5%): RM500

    The pause fee will be due at the time of the request to pause and must be cleared before the project resumes.

    These policies are in place to ensure efficient project handling and mutual accountability.

7. Confidentiality

HKS will keep all client information confidential.

8. Termination

Either party may terminate the agreement for cause, such as breach of contract or non-payment.

Booking & Cancellation:

When you book our service, you reserve our dedicated time and expertise. If you cancel after payment but before the discovery call, you are eligible for a 40% refund of the project deposit fee, as 60% is allocated to administrative and processing costs. Once the discovery call begins, no refunds will be issued, as that time is fully committed to your project.

9. Limitation of Liability

HKS's liability is limited to the amount paid for the specific service. HKS is not liable for indirect or consequential damages.

10. Governing Law

These Terms of Service are governed by the laws of Malaysia.

By engaging with HKS, you acknowledge and agree to these Terms of Service.
